Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Dromos website, products, and services (collectively, the "Service") provided by Dromos, Inc. ("Dromos", "we", "us", or "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You agree to provide accurate information when you register or join a waitlist, and to keep your contact information current. You are responsible for all activity under your account and for safeguarding your credentials.
2. The Service
Dromos provides a permissioning, orchestration, and observability layer for AI agents that interact with third-party tools and systems on your behalf. Specific features, limits, and pricing are described in our product documentation and order forms, and may change as the Service evolves.
Where the Service routes prompts or actions through third-party large language model ("LLM") providers or other third-party tools, your use of those providers is also governed by their terms and policies.
3. Beta and pre-release
Parts of the Service may be designated as "beta", "preview", or "early access". Beta features are provided as-is, may change or be removed without notice, and may carry tighter rate limits or reduced reliability. Do not rely on beta features for production systems unless we have agreed otherwise in writing.
4. Acceptable use
You agree not to:
- Use the Service to violate any applicable law or third party's rights;
- Configure agents to access systems or accounts you are not authorized to access;
- Attempt to interfere with, reverse engineer, or circumvent the security or rate limits of the Service;
- Use the Service to send unsolicited communications, spam, or unlawful messages;
- Upload material that is illegal, infringing, harmful, or otherwise prohibited by us in writing.
We may suspend or terminate access for material breach.
5. Your data and grants
You retain ownership of the content, prompts, configurations, and connected-account data you provide ("Customer Data"). You grant Dromos a limited, worldwide, non-exclusive license to host, process, and transmit Customer Data solely to operate, secure, and improve the Service for you, and as further described in our Privacy Policy.
We do not sell your data. We do not train Dromos models on your data. Where you choose to route activity through third-party LLM providers, those providers' handling of inputs and outputs is governed by their own terms; some may use inputs to improve their models unless you opt out within their controls. We surface these choices where we can.
6. Communications, email, and SMS
By providing your email address or phone number, you consent to receive transactional and service-related communications from us (for example, sign-up confirmations, security notices, and product updates you've opted into).
If you opt in to SMS, message frequency varies. Message and data rates may apply from your carrier. You can opt out at any time by replying STOP, and request help by replying HELP, to any SMS we send. Carriers are not liable for delayed or undelivered messages. SMS delivery is provided through Telnyx and other vetted telecom providers.
7. Third-party services
The Service integrates with third-party tools (for example email providers, productivity suites, LLM APIs, telecom carriers). We are not responsible for those services' availability, terms, or data practices. Your use of them is at your own risk and subject to their own agreements.
8. Fees and billing
Paid plans are billed as described at sign-up or in your order form. Fees are non-refundable except where required by law. We may change prices on prospective renewal terms with reasonable notice. Taxes are your responsibility unless we are required to collect them.
9. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service using at least the same care it uses for its own confidential information of like kind.
10. Intellectual property
Dromos and its licensors retain all right, title, and interest in and to the Service, including all underlying software, models, brand marks, and documentation. Nothing in these Terms grants you rights in our intellectual property other than the limited right to use the Service per these Terms.
11. Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE; YOU ARE RESPONSIBLE FOR REVIEWING AND USING OUTPUTS APPROPRIATELY.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO DROMOS IN THE TWELVE MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS.
13. Indemnification
You will defend and indemnify Dromos against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or a third party's rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach or to comply with law. Provisions that by their nature should survive termination will survive (including ownership, disclaimers, limits of liability, and dispute resolution).
15. Changes to the Service or these Terms
We may update the Service and these Terms from time to time. If changes are material, we'll provide reasonable notice (for example by email or in-product notice). Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and each party consents to that venue. Where local mandatory law applies (for example consumer protections in your country), nothing here overrides those rights.
